NOTICE OF OFFER

 

The Stokes County Board of Commissioners has received an offer from Pioneer Community Hospital of Stokes

to purchase the following assets of the Home Health operations of the Stokes County Health Department:

two (2) vehicles, patient lists, access to software programs, provider agreements, permits of approval,

certificates of need and licenses, for the sum of Fifty Thousand Dollars ($50,000.00). 

Pioneer will also pay all of Stokes County’s legal expense in connection with the sale up to $27,500. 

The offer is subject to completion of Buyer’s due diligence, approval of all terms of an Asset Purchase

Agreement by the parties, and any required approvals of state and federal agencies. 

 

The Stokes County Board of Commissioners intends to accept said offer, and is publishing this

Notice pursuant to North Carolina General Statute 160A-269.

 

Anyone may raise the bid by ten percent (10%) of the first one thousand dollars ($1,000.00) and five percent (5%)

of the remainder, by providing a written offer including all of the above terms to the Stokes County Finance Officer

at the Ronald W. Reagan Memorial Building, 1014 Main Street, Danbury, North Carolina 27016, and by depositing

five percent (5%) of the increased bid with the Stokes County Finance Officer by 5:00 pm on Tuesday, May 27, 2014. 

The minimum upset bid is $52,550.00 and the required deposit is $2,627.50. 

 

If an upset bid is received which the County intends to accept, the County will advertise the new bid amount

which will be subject to upset in the same manner as the original bid as set forth above.  This procedure will be

repeated until no further qualifying upset bids are received.

The Stokes County Board of Commissioners reserves the right to reject any and all bids received at any time

Bond Order Authorizing the Issuance of Not to Exceed $4,700,000

General Obligation Refunding Bond Of the County of Stokes, North Carolina

 

WHEREAS, the County of Stokes, North Carolina (the “County”) has issued $13,385,000 aggregate principal amount of its General Obligation Refunding Bonds, Series 2004 (the “2004 Bonds”);

 

WHEREAS, the Board of Commissioners (the “Board”) of the County deems it advisable to refund $4,630,000 in aggregate principal amount of the 2004 Bonds maturing on and after June 1, 2015;

 

WHEREAS, an application has been filed with the Secretary (the “Secretary”) of the Local Government Commission of North Carolina (the “Commission”) requesting Commission approval of the bonds hereinafter described as required by the Local Government Bond Act, and the Secretary has notified the Board that the application has been accepted for submission to the Commission.

 

NOW, THEREFORE, BE IT ORDERED by the Board of Commissioners of the County of Stokes, North Carolina, as follows:

 

Section 1.         The Board deems it advisable to refund $4,630,000 in aggregate principal amount of the 2004 Bonds maturing on and after June 1, 2015.

 

Section 2.         To raise the money required to pay the costs of refunding the 2004 Bonds, as set forth above, a General Obligation Refunding Bond of the County of Stokes, North Carolina is hereby authorized and shall be issued pursuant to the Local Government Bond Act of North Carolina.  The maximum aggregate principal amount of such General Obligation Refunding Bond authorized by this bond order shall be and not exceed $4,700,000.

 

Section 3.         A tax sufficient to pay the principal of and interest on said General Obligation Refunding Bond when due shall be annually levied and collected.

 

Section 4.         A sworn statement of the County’s debt has been filed with the Clerk to the Board of Commissioners and is open to public inspection.

 

Section 5.         This bond order shall take effect on its adoption.

 

The foregoing order was adopted on the 28th day of April, 2014 and is hereby published the 1st day of May, 2014.  The finance officer of the County has filed a statement estimating that the total amount of interest that will be paid on the bonds over the expected term of the bonds, if issued, is $176,289.54.  The estimate is preliminary, is for general informational purposes only, and may differ from the actual interest paid on the bonds.  Any action or proceeding questioning the validity of the order must be begun within 30 days after the date of publication of this notice.

substantially all of the assets used in operating the home health division of the Stokes County Health Department, including

furniture, fixtures, equipment, provider agreements, permits of approval, certificates of need and licenses, but excluding

accounts receivable; for the sum of $2,000,000.00.  The purchase price is to be paid in full at closing subject to an escrow

of 10-15% of the purchase price to be held for 2-3 years to secure obligations of the County under the Asset Purchase Agreement. 

The offer is subject to completion of Buyer’s due diligence, approval of all terms of an Asset Purchase Agreement by the parties,

and any required approvals of state and federal agencies. 

 

The Stokes County Board of Commissioners intends to accept said offer, and is publishing this Notice pursuant to

North Carolina General Statute 160A-269.

PUBLIC NOTICE

 

At its July 22, 2013 meeting, the Board of Commissioners (the “Board of Commissioners”) of the

County of Stokes, North Carolina (the “County”) adopted a resolution which:

 

1. Authorized the County to proceed to pay the capital costs of financing the renovation and expansion

of the County’s existing Lawsonville Elementary School by constructing a single story addition to the existing

classroom building, and upgrading the school’s utilities and parking lot (collectively, the “Project”). 

The Board of Commissioners further authorized the County to finance the Project pursuant to an installment

financing contract (the “Contract”) with a financial institution to be determined in an aggregate principal amount

not to exceed $2,100,000 under which the County will make certain installment payments, in order to make the

Project available to the County;

 

2. Authorized the County to proceed to provide, (a) in connection with the Contract as grantor, a deed of trust,

security agreement and fixture filing (the “Deed of Trust”) to include the real property on which the Project is located,

as set forth below (the “Mortgaged Property”). The Mortgaged Property will be mortgaged by the County to create

a lien thereon for the benefit of the entity, or its assigns, providing the funds to the County under the Contract. 

 

The Lawsonville Elementary School is located at 4611 NC Hwy 8 North, Lawsonville, NC 27022. 

The Mortgaged Property will be subject to the mortgage provided in the Deed of Trust. 

On payment by the County of all installment payments due under the Contract, the Deed of Trust and any lien

created thereunder will terminate and the County’s title to the Mortgaged Property will be unencumbered.

that on August 12, 2013 at 1:30 p.m. in the Commissioners’ Chambers on the 2nd Floor of the Administration Building

approval of the execution and delivery of the Contract and the Deed of Trust and the County’s financing of the Project.

                         PUBLIC NOTICE

 

NOTICE IS HEREBY GIVEN, that the Danbury Water System has contracted Utility Services

Company Inc. to perform a water main cleaning project.

 

In order to perform this task, it will necessary to the turn the water off on Monday, August 27th,

beginning at 7:30 pm and possibly continuing until 3:00 am Tuesday, August 28th.

We will resume the cleaning project on Wednesday, August 29th at 1:30 pm and expect to have

water service fully restored by 8:00 pm that evening. Although Monday’s cleaning process

will affect ALL customers, Wednesday’s process will only affect the water services from the

intersection of Meadow Rd. and Main Street through downtown Danbury.

will consider entering into a contract with a Stokes County resident to plant small grain crops

(approved by the County) on the land located across from the new Poplar Springs Elementary School

at their regular meeting on Tuesday, May 29, 2012 at 6:00 pm at the

Ronald Wilson Reagan Memorial Building (Administrative Building - Commissioners’ Chambers).

 

Individual must abide by the following requirements:

 

·         Must follow Best Management Farm Practices as defined by Stokes

County Soil and Water and Farm Service Agency

·         Must certify that public liability and property damage insurance will be

provided in an amount determined by the County Manager to ensure

Stokes County is held harmless and is reasonable in relation to the risks

and hazards involved in the proposed agricultural activity

·         Must enter into a contract for 5 years

 

Individual will be selected by a lottery drawing for the agricultural activity.
